1. Introduction

These Terms and Conditions ("Agreement") govern the provision of web design and development services (the "Services") by DuduAgency a Subsidiary of ODYSI HOLDINGS LTD. ("Web Agency," "we," "us," or "our") to you ("Client" or "you"). By engaging our services, you agree to abide by these terms.

2. Scope of Services

2.1. Web Design and Development: We will provide web design and development services as outlined in the project proposal or contract.

2.2. Client Responsibilities: You are responsible for providing all necessary materials, content, and approvals required for the project. Delays in providing these may affect project timelines.

3. Payment

3.1. Fees: The Client agrees to pay the fees as specified in the project proposal or contract.

3.2. Payment Schedule: Payment terms and schedules will be outlined in the project proposal or contract. A deposit may be required before work begins.

3.3. Late Payments: Late payments may incur additional charges or project delays.

4. Intellectual Property

4.1. Ownership: Upon full payment, the Client will own the final website design and content. We retain the right to display the project in our portfolio.

4.2. Third-Party Materials: The Client is responsible for obtaining necessary licenses for any third-party materials used on the website.

5. Revisions and Changes

5.1. Revisions: The project includes a specified number of revisions. Additional revisions may incur extra charges.

5.2. Change Requests: Any changes to the project scope must be documented and may result in adjustments to the project timeline and cost.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project.

7. Termination

Either party may terminate the project with written notice. The Client is responsible for payment for services performed up to the termination date.

8. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve it through negotiation and mediation before pursuing legal action.

9. Limitation of Liability

Our liability is limited to the amount paid for the Services. We are not responsible for any consequential, indirect, or incidental damages.

10. Governing Law

This Agreement is governed by the laws of Republic of Cyprus, and any disputes shall be resolved in the appropriate courts of Republic of Cyprus.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
